Chapter 3

Luca appeared at Matteo’s house the next morning.
No bodyguards.
No dramatic entrance.
He looked exhausted.
Posy was upstairs with a therapist and Matteo’s sister-in-law.
Matteo kept their conversation in the library.
“You disappear during closing night?”
“I was with lawyers.”
“You have lawyers at the casino.”
“Not these.”
Luca placed a binder on the table.
The bridge lender named in Belladonna’s documents was Crane Hospitality Credit Fund II.
Crane Meridian managed it.
Normal enough.
But three weeks earlier, Belladonna’s CFO had received a routine beneficial-ownership certificate required for refinancing.
One investor appeared only as:
North Harrow Special Situations LP.
Nobody recognized it.
Luca’s outside lawyers traced the entity.
North Harrow owned seventy-three percent of the bridge-loan fund’s economic interest.
Its general partner was controlled by Arcwell Development Group.
Matteo knew the name.
“Developers.”
“Yes.”
Arcwell built luxury condominiums and mixed-use towers along the Northeast coast.
It had spent four years assembling land around Belladonna.
A shuttered restaurant east of the property.
A parking parcel west.
An old warehouse across the access road.
Belladonna sat in the center.
Matteo looked at his brother.
“You think this is about land.”
“I know it is.”
Luca opened the next section.
Arcwell had commissioned a planning study eighteen months earlier.
Not for a casino.
For three residential towers, retail space, and a marina complex.
The proposed footprint included the Belladonna property.
Matteo asked:
“Did they approach you?”
“Twice.”
“And?”
“I said no.”
“How much?”
“First offer, eighty-two million for the real estate. Second, ninety.”
“What’s it worth now?”
“Independent land appraisal last month: somewhere between one-oh-eight and one-twenty depending on approvals.”
Matteo stared.
Honora was offering seventy-one million for majority control of the operating company, not outright ownership of the real estate.
At first glance, those were not comparable transactions.
Then Luca showed him an attachment to the sale agreement.
Schedule 9.14 — Real Estate Stabilization Rights.
If Belladonna failed specified operating and debt-service thresholds after the transaction, Crane Meridian could require the property company to enter a long-term sale-leaseback with a designated financing affiliate.
That affiliate was not named in the main agreement.
It was defined as an “approved real-estate capital partner.”
Matteo asked:
“Arcwell?”
“Not disclosed.”
“Your lawyers approved this?”
“They approved the concept with valuation protections.”
“What protections?”
Luca turned the page.
Minimum sale price would be based on an appraisal performed by one of three approved firms.
Who proposed the approved firms?
Crane.
Two had previously worked for Arcwell.
Matteo looked up.
“And you didn’t see it?”
“No.”
Luca did not defend himself.
That helped.
“I saw a financing mechanism. I didn’t see the land assembly.”
“Who did?”
“My CFO found the North Harrow name.”
“And Honora?”
“Claims North Harrow is a passive investor.”
“Do you believe her?”
“No.”
Neither did Matteo.
Still, a hidden economic relationship did not automatically prove fraud.
Funds had investors.
Developers made investments.
Affiliates overlapped.
They needed evidence.
Luca continued.
“Yesterday my counsel asked Honora for full beneficial-ownership disclosure before closing.”
“What did she say?”
“That we were inventing a pretext to renegotiate price.”
“Then?”
“She threatened the breakup fee.”
“Then you called me.”
Luca looked at him.
“Yes.”
Matteo’s expression hardened.
“You sent me into her banquet without telling me any of this.”
“I wanted her reaction before she knew we had the names.”
“You used me.”
“I asked my brother to deliver a termination.”
“You let my daughter attend.”
Silence.
That was the harder part.
Luca said:
“I told Posy to stay away from Honora.”
“That is not protection.”
“I didn’t know she would touch her.”
“You knew enough to warn an eight-year-old.”
Luca looked down.
Matteo’s voice became quieter.
“You had a concern serious enough to warn my child and not serious enough to cancel her invitation.”
No answer.
That failure would remain separate from Honora’s violence.
Then Luca produced one last document.
A Belladonna access-control request submitted by Honora’s office three days before the banquet.
Effective Monday, contingent on closing:
Remove Sanzio family unrestricted guest privileges.
Replace executive-suite locks.
Archive family photographs from the private gaming salon.
And revoke permanent event access for:
Matteo Sanzio household.
May you like
Including Posy.
Honora had been preparing to erase the family before she legally owned anything.
