Chapter 12 - The lenders ask questions

The lender consortium did not panic.
It scheduled calls.
Lead bank:
National Atlantic Bank.
Credit officer:
Rebecca Chen.
She asked:
“Were any undisclosed related-party payments made by Marlowe Holdings directly to Ms. Langley?”
“No.”
“Were payments made by vendors who received Marlowe contracts?”
“Yes.”
“Did Ms. Langley influence those contracts?”
“Yes, to varying degrees.”
“Is there evidence contracts were commercially unreasonable?”
“Some overcharges under review. Many services appear legitimate.”
“Any evidence loan proceeds were diverted?”
“No.”
“Any false financial statements?”
“Disclosure controls potentially incomplete. Quantitative financial impact under review.”
Then auditor.
Would prior statements need restatement?
Preliminary:
Probably no material financial restatement based solely on amounts identified.
But related-party footnote/control disclosures might require correction in lender packages and shareholder reporting.
Good.
Not empire death.
Then covenant.
Banks required:
Independent investigation updates.
No expansion of Vesper authority.
Enhanced related-party controls.
Potential waiver once findings final.
Fee:
Banks are not charities.
Amendment/waiver costs could reach:
$750,000–$1.2 million.
Then one bank asked:
“Does Mr. Marlowe remain suitable as CEO given failure to identify family related-party transactions?”
There.
My turn.
The board launched governance review of me.
Again.
Had I signed inaccurate certifications?
Yes, if incomplete.
Did I know they were inaccurate?
No evidence.
Should I have maintained better controls around my own aunt?
Absolutely.
Would I resign?
Not automatically.
Independent board decided:
I remained CEO during review.
No unilateral procurement authority over related-party vendors.
Independent chair given broader oversight.
Then one director said:
“Your family’s informal power is a control weakness.”
I answered:
“I know.”
Vesper’s actions did not make me innocent of building a structure where she could operate for years without disclosure.
That admission mattered to lenders.
National Atlantic did not accelerate.
It issued reservation of rights and requested remediation.

The empire did not die.
It started paying lawyers.
