Chapter 23 - Marcelli Holdings

The corporate board convened independently.
Beatrice was not a director by then? Let's say she held an advisory director seat. Renata was executive VP of hospitality and director.
Renata’s role created a real business problem.
She had used employees, wardrobe resources, guest rooms, and service schedules for a private disciplinary scheme.
That was misuse of company authority.
The board placed her on administrative leave.
Independent investigation.
Findings:
She bypassed hotel manager.
Directed staff to treat Dahlia as a family volunteer without parental approval.
Used a commercial service area as a child sleeping location.
Created reputational and liability exposure.
Her physical assault occurred at company property.
Renata was removed as executive vice president.
Not stripped of her shares.
She retained ownership interest.
She later returned? Maybe not immediately. She could consult? Better: After 18 months she did not return to operations; sold some shares but kept some. Let's say she resigned from executive role and remained non-management shareholder. This is realistic.
Beatrice lost family-council chair but did not own corporate seat. Her advisory role ended at renewal.
As for me:
The board reviewed my conduct too.
My slap at a company event.
Conflict.
I recused from disciplinary decisions involving Renata.
The independent directors formally censured me for physical violence and required completion of executive conduct training in addition to legal diversion.
Did I enjoy?
No.
Was it appropriate?
Yes.
Power means being subjected to rules you could otherwise bend.
May you like
If rules only apply downward, they are decoration.
