Chapter 10 - The plan for Carter Holdings

By the time investigators reconstructed the financial record, Julian’s plan was clear.

He could not legally take Carter Holdings by having a grieving man sign one magical document.

So he built a sequence.

First:

Keep Leo hidden.

My grief made me dependent on Julian.

Second:

Expand delegated financial authority while I remained functional enough to sign but exhausted enough not to challenge every detail.

Third:

Push aggressive acquisitions and financing choices that narrowed Carter Holdings’ covenant headroom.

Not every transaction was fraudulent.

Some had business rationale.

But Julian repeatedly suppressed downside information when presenting them to me.

Fourth:

Create a narrative for the board.

Arthur Carter:

Grieving.

Distracted.

Poor concentration.

Missed meetings.

Memory complaints.

Increasingly impulsive.

Some observations true.

Julian amplified them into:

Possible incapacity.

Fifth:

Introduce North Meridian as rescue capital.

The $280 million preferred financing would solve liquidity pressure.

But deal documents also granted:

Two board seats.

Protective veto rights.

Conversion rights.

Restrictions on my voting power under temporary proxy.

Management transition rights.

Sixth:

Have me sign a separate executive package acknowledging:

I was voluntarily taking medical leave.

I accepted board review of capacity.

I authorized Julian as interim CEO.

I granted temporary voting proxy over specified shares while review remained pending.

Seventh:

Use that proxy and new investor rights to restructure the board before I could reverse course.

If performance missed post-closing thresholds, preferred shares could convert into enough voting power to reduce my control dramatically.

Julian’s prospective compensation would rise with successful transition.

Clara would receive a final payment through Blue Ash.

Then Leo.

He could not be released.

A living Leo destroyed the emotional and factual foundation Julian had exploited for five years.

So tomorrow after signing, Julian intended to move him from Carter House.

The recording:

Clara:

“Where?”

Julian:

“Somewhere he can’t come back from.”

Prosecutors would later argue that suggested planned permanent disappearance.

Defense would argue it meant relocation outside the region.

No need exaggerate.

The kidnapping already existed.

Then North Meridian.

Was it part of conspiracy?

Investigation found no evidence its principals knew Leo was alive or that Julian had manipulated my grief through kidnapping.

They negotiated a harsh deal based on financial information Julian supplied.

Some terms were opportunistic.

Not criminal.

That distinction saved Carter Holdings from turning every counterparty into villain.

The central secret was not:

Julian had one forged contract.

It was:

For five years, he had used my son’s disappearance as the foundation of a corporate control strategy.

Leo was not hidden because of the company.

The company scheme grew because hiding Leo worked.
