Chapter 24 - The board releases the final report

Final independent report was brutal.

Julian:

Intentional deception.

Concealed conflicts.

Manipulated risk presentation.

Misused delegated authority.

Attempted to engineer control transition.

Arthur:

Excessive delegation.

Weak oversight.

Failure to challenge optimistic acquisition assumptions.

Failure to maintain boundaries between grief support and executive governance.

Board:

Too deferential to founder-CFO relationship.

Compensation committee:

Failed to supervise preliminary management incentive discussions.

IT controls:

Allowed problematic executive-email delegation.

No single villain explained five years of corporate failure.

Julian committed crimes.

Others created opportunities.

Then financial restatement?

Auditors determined:

No full restatement required for prior revenue/earnings solely from Julian’s conduct.

But acquisition impairments and disclosure controls had already been recorded.

Certain related executive-compensation disclosures corrected.

Lender certifications amended.

No fraud finding against company as whole.

Then shareholders sued derivatively.

Claim board oversight failures cost company millions.

Settlement:

Governance reforms.

Insurer contribution.

Company-level payment to shareholders? Derivative settlements often corporate reforms + attorney fees, maybe D&O. We can say insurer-funded settlement of $18 million to company net of fees? But complexity. Keep:

D&O insurers funded $14 million settlement payment to Carter Holdings on oversight claims, with governance reforms, without admission by independent directors.

Some directors did not stand for reelection.

No one went to prison over ordinary oversight.
