Chapter 22 - Charles

Charles resigned as chairman.

Nobody forced him legally.

The board would probably have removed him anyway.

His failure was not criminal conspiracy.

It was governance.

For years, Vance Structural operated like a family living room with revenue.

Ryan received authority without enough oversight.

Margaret influenced decisions without formal accountability.

Daniel carried compliance conflicts alone.

Charles avoided confrontation.

The company hired an independent board chair.

External compliance counsel.

Third-party testing oversight.

A protected reporting channel.

Martin, after recovering, refused to return.

Good.

He had already given enough.

Charles later told me:

“I thought trusting my sons meant letting them run things.”

I answered:

“No. You let Daniel supervise Ryan until Daniel became inconvenient.”

He looked hurt.

Sometimes accurate things hurt.
